ROLE OF CONCEPT FERTILITY CENTRES

With a current worldwide infertility rate of 15%, Concept Fertility Centres are being established to assist those couples, who have difficulty conceiving, in achieving a live healthy baby.

Concept Fertility Centre has affiliated centres in:

  • Canberra Australia (established 1986)
  • Karachi Pakistan (established 1998)
  • Kuala Lumpur (established 2001)
  • Sagar India (commencing shortly)

Concept Fertility Centre is currently negotiating to establish affiliated Centres in other countries in South-East Asia and the Indian Sub-continent.


EQUIPMENT REQUIREMENTS

Equipment to fully equip the facility for all infertility investigation, diagnostic and treatment procedures would be necessary for:

  • Embryo Laboratory
  • Semen Laboratory
  • Biochemistry Laboratory (optional)
  • Administration
  • Operating Theatre

Concept Fertility Centre experts will source all the equipment and consumables required to provide the full range of ART services. The equipment requirements would depend upon the facilities and equipment already available to the local facilities.

TECHNOLOGY TRANSFERS

This will involve a number of methods:

  • Training of local staff
  • Visits by Concept consultants to reaffirm training
  • Provision of full Procedures & Protocol Manuals
  • Monthly visits by Concept Consultants for the first 12 months and two months thereafter
  • Assessment of all new technologies and transfer of these to local facilities after full evaluation
  • Enrolment in Concept's Quality Assurance and Quality Control programmes
  • Provision of comprehensive database (ARTEMIS) and updates
  • Access to Concept consultants for immediate trouble shooting

STRUCTURE

These are various structures which can be contemplated:

1. License Structure

The granting of a license by Concept Fertility Centre is not designed to infer a hierarchical relationship between the Unit and Concept Fertility Centre (Perth). However, when the rights to use information, technology and systems developed by one party are granted to another party, then a set of disciplines and control over such use need to be determined and agreed upon.

Concept Fertility Centre agrees, as a consequence, to the structuring of a License Agreement that provides for the protection mechanisms to ensure that the integrity of both Concept (Perth) and also the Licensee, is protected - in the interest of all who may become members of the group.

The main component of the agreement are as follows:-

  • Intellectual property
  • Terms of the Agreement
  • Territory
  • Research and Development
  • Fees and Charges
  • Obligations
  • Restrictions
  • Termination

2. Joint Venture Structure

Concept Fertility Centre may consider entering into Joint Venture Agreements where interested partners do not want to retain 100% ownership in their own centres. This will only be contemplated under carefully determined circumstances. The principles that Concept will consider in entering into a Joint Venture Agreement will include the following:-

  • Intellectual Property
  • Equity (Negotiable)
  • Term of Agreement
  • Directorship (Negotiable)
  • Fees/Charges
  • Territory
  • Research and Development
  • Restrictions

3. Management Structure

The management of an ART Unit, by Concept Fertility Centre will be based on the principle that an existing Unit agrees to contract with Concept Fertility Centre to provide the full range of management services, excluding staffing, required for the optimal financial, scientific and clinical outcomes.

The main components of this Management Agreement will include:

  • Terms of Agreement
  • Research and Development
  • Fees and Charges
  • Obligations
  • Restrictions
  • Termination

FUTURE DEVELOPMENTS

Concept aims to introduce the proven systems and technology into other regions of the world, where historically, such technology has been either unavailable or available in limited form.

By transferring this technology to parties in more remote regions, Concept intends to provide a full training and support programme to ensure that new facilities and laboratories are able to maintain at least the same standards of quality control and expertise - thus improving the likelihood of success for client patients.

The interchange of all information and statistics between all Concept Fertility Centres is seen as an important and integral component in the escalation of efficiency levels for such facilities and would lead to all Centres becoming recognized widely as world leaders in this area of medical expertise.
